Highlights include:
- Microsoft made a $40 / share offer in Jan. 2007 and was rebuffed by then CEO Terry Semel.
- Before going with their public bid earlier this year, Microsoft attempted another private transaction. They concluded Jerry Yang was adamantly opposed to selling.
- Yahoo’s own compensation adviser thought the employee retention package in lieu of Microsoft’s bid was “nuts”.
As the Yahoo shareholder meeting approaches, pressure on the board will continue to increase especially if their quarterly earnings disappoint on July 22.
